Terms of Use

These Terms of Service (these “Terms”), together with any other agreements or terms incorporated by reference, including, without limitation, our privacy policy available at https://www.altura.xyz/terms (the “Privacy Policy”), set forth the basis on which you are permitted to access and use the website available at https://www.altura.xyz/ and associated services, including, without limitation, the multi-strategy decentralized yield protocol deployed on HyperEVM (the Ethereum-compatible smart-contract layer inside the Hyperliquid blockchain) and operated by Altura, which enables Users to deposit supported stablecoins into a vault (the “Vault”) that automatically allocates capital across diversified, non-directional yield sources (collectively, the “Platform”) provided by the Altura team (“we”, “us” or “Altura”).

These Terms constitute a binding and enforceable legal contract between Altura and you (“You” or “User”). By accessing the Platform, you agree to these Terms. If you are entering into these Terms on behalf of a company or another legal entity, you represent that you have the authority to bind such entity and its affiliates to these Terms, in which case “You” will refer to such entity and its affiliates. If the legal entity that you represent does not agree with these Terms, you must not accept these Terms or use the Platform.

We respect your privacy and are committed to protecting personal data collected through the Platform. You acknowledge that your interaction with the Platform may generate certain personal and/or transactional data. By accessing the Platform, you consent to Altura’s data collection, processing, and storage practices as detailed in the Privacy Policy. You are advised to review the Privacy Policy carefully to understand how your personal information is collected, used, shared, and protected.

Class Action Waiver. To the fullest extent permitted by applicable law, you and Altura agree that any dispute, claim, or proceeding arising out of or relating to these Terms or the Services must be brought only on an individual basis, and not as part of any class, collective, consolidated, representative, group, or similar proceeding. No court, tribunal, arbitrator, or other decision-maker may consolidate or join the claims of more than one user or customer, or otherwise preside over any such proceeding, unless all parties expressly agree in writing. If this waiver is found to be unenforceable in respect of any claim, it will apply to the maximum extent permitted by law and will not affect the enforceability of the remaining provisions of these Terms.

The Platform, and any other features offered or made available by us are not offered to U.S. Persons or Restricted Persons (each as further defined in the Eligibility section below), or to persons located in, incorporated in, or ordinarily resident in the European Union or the European Economic Area, and any such use is strictly prohibited. Notwithstanding the foregoing, access to the Platform by persons located in the EU or EEA is permitted only where such access is made solely on the user’s own initiative and not as a result of any solicitation, marketing, promotion, or outreach by Altura or any of its affiliates, agents, or representatives.

The use of a virtual private network (VPN) or any other privacy, anonymization, or IP-masking tool or technique to circumvent, or attempt to circumvent, any geographic or eligibility restriction applicable to the Platform is strictly prohibited. You represent and warrant that you are not using any such tool to access the Platform.

We reserve all rights to take action against any person who violates, circumvents, or attempts to circumvent such restrictions, including pursuing legal action and/or temporarily or permanently restricting such person’s access to the Platform.

The Platform

Platform. By accessing the website available at https://www.altura.trade/, you are gaining access to and usage of the Platform. Deposits, withdrawals, and Vault operations entered into over the Platform do not take place between the User and Altura as counterparty, but rather between User and the relevant Vault smart contracts, as further detailed below.

You may use an approved third party social networking service, such as Apple or Google ("SNS Account"), to register through its registration page and you will be obligated in respect to and of its registration process. You have the ability to disable the connection between your Company Account and your SNS Account at any time, by accessing the "Settings" section of the Platform.

The Platform allows Users to deposit supported digital assets into one or more Vaults, as follows:

Deposits

Users may deposit $USDT0 or other supported digital assets from an EVM-compatible wallet into a Vault through the Platform. Where applicable, the Platform, smart contracts, or third-party infrastructure providers may facilitate bridging, routing, conversion, or other transaction steps necessary or appropriate to make the deposited assets available for use by the applicable Vault. Users are solely responsible for reviewing, approving, and executing all wallet transactions and for paying any applicable network, bridge, gas, transaction, or other fees.

Vault Units; $AVLT

Following a successful deposit, the User may mint or receive $AVLT or another Vault Unit, receipt token, or on-chain accounting unit associated with the applicable Vault (each, a “Vault Unit”). $AVLT is used to calculate the User’s pro rata portion of the applicable Vault and the amount of supported digital assets that may be available upon redemption or withdrawal, subject to fees, gains, losses, withdrawals, strategy performance, Vault Unit Value adjustments, oracle updates, smart contract mechanics, and these Terms. $AVLT does not represent equity, stock, voting rights, ownership in Altura, or any right to participate in the management, profits, revenues, or assets of Altura or any other entity.

Strategy Allocation

Assets deposited into a Vault may be allocated across one or more yield-generating strategies, which may include arbitrage, funding-rate capture, market-making, real-world asset or asset-backed strategies, liquidity provision, or other strategies made available through the Platform. Strategy selection, allocation, rebalancing, execution, and related risk-management processes may be performed programmatically, manually, by Altura, through applicable smart contracts, by third-party service providers, or through any combination of the foregoing.

Vault Unit Value and Vault Accounting

The value attributable to each Vault Unit, including $AVLT, referred to as the “Vault Unit Value,” is generally determined by reference to the applicable Vault’s net asset value or other on-chain accounting methodology. As a Vault generates net yield, receives proceeds, incurs fees, experiences losses, processes deposits or withdrawals, or otherwise changes in value, the Vault Unit Value may increase or decrease. Any increase in the value of a User’s position is generally reflected through an increase in the applicable Vault Unit Value rather than through a separate distribution, unless otherwise stated by Altura or reflected in the applicable smart contracts. Vault accounting, including updates to Vault Unit Value, may rely on authenticated oracle reporters, smart contracts, validation rules, movement limits, freshness checks, timestamp rules, or other safeguards. Altura does not guarantee that any accounting mechanism, oracle reporter, validation process, or safeguard will be error-free, uninterrupted, timely, or immune from manipulation, compromise, or failure.

Redemptions and Withdrawals

Users may redeem Vault Units, including AVLT, or otherwise request withdrawals from a Vault in accordance with the withdrawal procedures made available through the Platform. A User’s redemption or withdrawal amount is determined by reference to the number of Vault Units held by the User and the applicable Vault Unit Value at the time of redemption or withdrawal, subject to fees, liquidity, losses, strategy performance, smart contract mechanics, and these Terms. Where sufficient liquid balance is available, withdrawals may be processed through an instant withdrawal path. Where sufficient liquidity is not available, withdrawal requests may be processed through an epoch-based or delayed withdrawal path and may become claimable only after the applicable epoch closes or after underlying strategies are unwound, recalled, settled, or otherwise made liquid. Withdrawal timing is not guaranteed. Instant withdrawals may be subject to a fee, currently expected to be 0.10%, or such other fee as may be disclosed through the Platform from time to time.

No Guarantee of Availability or Returns

The operation of any Vault, the availability of deposits, redemptions, or withdrawals, the timing of withdrawals, the Vault Unit Value, oracle reporting, and the performance of any strategy are subject to risks, limitations, dependencies, and fees described in these Terms and reflected in the applicable smart contracts. Altura does not guarantee that any User will receive any yield, profit, return, return of principal, or recovery of assets following any exploit, hack, security incident, smart contract failure, oracle failure, or other loss event.

Yield Strategies and Capital Allocation

The Vault may seek to generate returns from economically grounded sources, which may include, without limitation, bid-ask spreads, funding payments, basis differentials, trading fees, protocol-level rewards, real-world asset or asset-backed opportunities, and other market inefficiencies. Capital may be allocated and reallocated among strategies based on market conditions, available liquidity, strategy capacity, risk considerations, expected returns, operational constraints, and other factors determined by Altura or applicable protocol mechanisms. Strategies may be subject to position limits, exposure limits, hedging, rebalancing, margin or collateral controls, liquidity monitoring, exchange or venue diversification, kill-switches, execution standards, or other risk-management processes. No allocation methodology, risk control, or strategy is guaranteed to generate yield, preserve principal, avoid losses, or remain available under all market conditions.

The ALTU Token

$ALTU is the utility token associated with the Altura ecosystem, if and when issued or made available by Altura or any applicable third party. ALTU may provide certain governance, access, incentive, or protocol-utility functions within the Altura ecosystem, as may be implemented or modified from time to time. $ALTU is separate from $AVLT and does not represent a Vault Unit, Vault deposit, claim on Vault assets, or entitlement to any Vault yield, redemption amount, or withdrawal amount. $ALTU carries no claim to dividends, profits, revenue, or other financial entitlement, and confers no equity, ownership, or voting rights in Altura, except to the extent any limited protocol governance functionality is expressly made available through the Platform. No representation is made that $ALTU will be issued, listed on any exchange, have any particular value or liquidity, or remain available for any particular purpose.

Wirex Services

Altura has partnered with Wirex to make available to eligible Platform users certain payment-related services, including virtual accounts and a payment card branded as the "Altura Card" (the "Wirex Services"). The Wirex Services are provided by Wirex (via various entities as more fully set forth in the Wirex General Terms of Service, available here, not by Altura, and are governed by Wirex’s own terms and conditions, privacy policy, and cardholder agreement, each available here: https://help.wirexapp.com/category/terms-and-policies-0427 (collectively, the "Wirex Agreements"). By onboarding to the Wirex Services via the Platform, you enter into a direct contract with Wirex; Altura is not a party to that contract and does not provide payment services, e-money, or card services itself. In connection with the Wirex Services, you authorise the exchange between Altura and Wirex of such information as is necessary to facilitate your onboarding and to provide the Wirex Services, in each case subject to the Privacy Policy. Wirex applies its own identity verification, sanctions screening, and source-of-funds checks under applicable law. Altura is not responsible for, and disclaims all liability arising from, the acts or omissions of Wirex, including the availability, suspension, or termination of the Wirex Services, the freezing or closure of accounts, declined transactions, fees, or any breach of the Wirex Agreements; your statutory rights against Wirex under applicable law are not affected by these Terms.

Beta Features

We may, from time to time, provide services or features that we expressly identify as “Beta”, “Pre-Release”, “Test”, “Unsupported” or other similar identification (“Beta Services”). You acknowledge that such Beta Services may be subject to additional terms, and notwithstanding anything to the contrary in these Terms, we will have no liability whatsoever arising out of or resulting from your use of any such Beta Services, which may be subject to bugs, errors, vulnerabilities or other instabilities affecting usage.

User Obligations

As a condition to your access to and use of the Platform, you acknowledge, understand, represent and agree as follows:

  • You agree to comply with all applicable laws, rules and regulations;

  • You represent that you are not a U.S. Person; “U.S. Person” shall mean any natural person or legal entity who (i) resides, (ii) is located (iii) is incorporated, or (iv) has a registered office, in the United States of America;

  • You represent that you are not a Restricted Person; “Restricted Person” shall mean any natural person or legal entity who (i) resides, (ii) is located (iii) is incorporated, or (iv) has a registered office, in any Restricted Jurisdiction;

  • “Restricted Jurisdictions” shall mean any of the following: Canada, Cayman Islands, the United States, Cuba, Iran, North Korea, Syria, the following regions of Ukraine: Crimea, Donetsk, and Luhansk, or any jurisdiction subject to comprehensive sanctions or embargoes by the FATF, the UN Security Council, or the competent authorities of the United States, the European Union or the Cayman Islands. We may, from time to time and in our sole discretion, add or remove any jurisdiction from the list of Restricted Jurisdictions;

  • You represent that you are not subject to economic or trade sanctions administered or enforced by any governmental authority; or otherwise, you are not subject to any sanctions regime maintained by the United States government, the United Kingdom government, the European Union, or the United Nations, including without limitation the U.S. Office of Foreign Asset Control Specifically Designated Nationals and Blocked Person List, and you are not an agent or an associate of any person or entity subject to any such regimes;

  • You do not, and will not, use VPN software or any other privacy or anonymization tools or techniques, or other means, to circumvent, or attempt to circumvent, any restrictions that apply;

  • Your access to the Platform is not (i) prohibited by and does not otherwise violate or assist you in violating any domestic or foreign law, rule, statute, regulation, by-law, order, protocol, code, decree, letter, or another directive, requirement, guidance, or guideline, published or in force that applies to or is otherwise intended to govern or regulate any person, property, transaction, activity, event or other matter, including any rule, letter, order, judgment, directive or other requirements, guidance, or guideline issued by any domestic or foreign federal, provincial or state, municipal, local or other governmental, regulatory, judicial or administrative authority having jurisdiction over the Company or you as otherwise duly enacted, enforceable by law, the common law or equity; or (ii) contribute to or facilitate any illegal activity;

  • From time to time, the Platform may be inaccessible or inoperable for any reason, including, but not limited to: (i) equipment malfunctions; (ii) periodic maintenance procedures or repairs that the Company or any of its suppliers or contractors may undertake from time to time; (iii) causes beyond the Company’s control or that the Company could not reasonably foresee; (iv) disruptions and temporary or permanent unavailability of underlying blockchain infrastructure; or (v) unavailability of third-party service providers or external partners for any reason;

  • We reserve the right to disable or modify access to the Platform at any time in the event of any breach of these Terms, including, without limitation, if we reasonably believe any of your representations and warranties may be untrue or inaccurate, and we will not be liable to you for any losses or damages you may suffer as a result of or in connection with the Platform being inaccessible to you at any time or for any reason;

  • Company does not act as a broker or advisor for you;

  • You are solely responsible for your use of the Platform, including any and all deposits, withdrawals, transfers, approvals, Vault interactions, and other transactions involving digital assets.

  • You represent and warrant that you are legally authorized to access and use the Platform, including depositing digital assets into, withdrawing digital assets from, and otherwise interacting with any Vault, strategy, smart contract, or related functionality made available through the Platform. You further represent and warrant that any digital assets provided, deposited, transferred, or otherwise used by you in connection with the Platform are owned or lawfully controlled by you and are free from any liens, claims, security interests, encumbrances, or other restrictions that would limit your ability to use such assets in connection with the Platform.

  • You represent and warrant that any digital assets used by you in connection with the Platform were obtained lawfully and do not constitute, and are not derived from or connected to, the proceeds of any crime, fraud, money laundering, terrorist financing, sanctions evasion, or other illicit activity.

User Restrictions

You may not misuse the Platform. Without limitation, by using the Platform, You agree not to:

  • promote or facilitate illegal activities, including but not limited to money laundering, terrorist financing, tax evasion, buying or selling illegal drugs, contraband, counterfeit goods, or illegal weapons;

  • infringe, misappropriate, or otherwise violate any intellectual property, privacy, publicity, or other proprietary rights of Altura or any third party;

  • engage in improper, abusive, manipulative, or fraudulent activity in connection with the Platform, including, without limitation, any scheme to defraud, deceive, trick, mislead, manipulate, or otherwise harm Altura, the Platform, other users, or any market, protocol, vault, pool, or strategy accessed through the Platform;

  • upload, transmit, introduce, or otherwise make available any viruses, worms, Trojan horses, time bombs, cancelbots, spiders, malware, bots, scripts, or other malicious or harmful code or technology that may impair, disrupt, damage, interfere with, or access in an unauthorized manner the Platform, smart contracts, systems, or related infrastructure;

  • impersonate another person, including another user of the Platform or otherwise misrepresent yourself;

  • encourage, induce, assist, enable, or attempt to enable any third party to engage in any activity prohibited under this Section or any other provision of these Terms;

  • circumvent, bypass, disable, evade, or interfere with any access controls, use restrictions, geographic restrictions, sanctions screening, wallet-blocking measures, rate limits, or other restrictions implemented by Altura or any third-party service provider; or

  • attempt to disable, impair, or destroy the Platform, or reverse engineer or decompile the Platform, attempt to do so, or assist anyone in doing so.

Risk Disclosure

General Risk Acknowledgment

By accessing or using the Platform, you acknowledge that digital assets, blockchain networks, smart contracts, vaults, yield strategies, and related transactions involve significant risks, including the risk of partial or total loss of assets. You are solely responsible for evaluating whether use of the Platform is appropriate for you, including in light of your financial circumstances, risk tolerance, and any legal, tax, or regulatory requirements that may apply to you.

Assumption of Risk

By accessing or using the Platform, you expressly acknowledge and assume all risks associated with digital assets, blockchain networks, smart contracts, vaults, yield strategies, and related transactions. Such risks include, without limitation, market, liquidity, strategy, counterparty, technical, oracle, network, wallet, cybersecurity, and regulatory risks. These risks are not exhaustive, may be unforeseeable, and may result in delayed or unavailable withdrawals, incorrect data, failed or delayed transactions, loss of access, reduced value, or loss of assets.

Platform and Strategy Risks

The Platform, Vaults, smart contracts, oracle systems, and underlying strategies involve significant risks. Altura’s smart contracts may contain bugs, vulnerabilities, or design flaws not detected by audits, and audits performed by any third-party auditor does not guarantee the absence of defects; the discovery or exploitation of any such defect may result in partial or total loss of deposited assets. The Platform may rely on authenticated oracle reporters or other data sources to update protocol state and provide data necessary for protocol operation, including the reporting and reconciliation of strategy outcomes, and any oracle delay, manipulation, error, downtime, compromise, or failure may result in incorrect data being recorded, delayed or frozen functionality, inaccurate accounting, or losses. The availability and timing of withdrawals depend on the liquid balance of the applicable Vault at the time of request and the ability of the underlying strategies to be unwound in an orderly manner; liquidity may be reduced or unavailable, and you may be unable to withdraw assets when desired or at the value expected at the time of request. Strategies may underperform, generate negative returns, or experience drawdowns, and may be exposed to market, execution, counterparty, liquidity, volatility, slippage, hedging, funding-rate, settlement, and other risks. Crypto-asset regulation is evolving and varies materially across jurisdictions, and changes in law, regulatory action, or enforcement may affect the lawful availability of the Platform or your ability to deposit, withdraw, claim, or otherwise interact with the Platform.

Transaction Finality

You understand that smart contract transactions may automatically execute and settle, and that blockchain-based transactions are generally irreversible once confirmed. Assets that are stolen, unlawfully obtained, mistakenly transferred, or sent to an incorrect address may be permanently unrecoverable.

No Advice

Altura does not provide legal, accounting, tax, investment, financial, or other professional advice. You are solely responsible for determining whether any access to or use of the Platform is appropriate for you based on your personal circumstances.

No Warranties

The Platform are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, Altura disclaims all warranties of any kind, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, security, reliability, availability, and error-free or uninterrupted operation.

Third-Party Dependencies

The Platform requires various third-party software, services, and infrastructure to function, including, without limitation, wallet applications, RPC providers, nodes, data providers, exchanges, custodians, protocols, or other blockchain infrastructure components. Such third-party dependencies are not under Altura’s control, and Altura makes no warranties regarding their availability, security, integrity, or functionality. Issues, failures, vulnerabilities, delays, outages, or disruptions affecting such third-party dependencies may impact your ability to access or use the Platform.

Network and Fork Risk

The Platform operates on the Hyperliquid blockchain, including its Ethereum-compatible execution environment known as HyperEVM, which may occasionally undergo forks, upgrades, outages, congestion, reorgs, or other technical divergences. In the event of a fork or similar event, Altura reserves the sole discretion to determine which version of the Hyperliquid blockchain, including any applicable HyperEVM environment, the Platform will support. Altura makes no guarantees regarding support for any forked or alternative version of the blockchain and may choose to support only one branch of a fork. Assets on unsupported forks may be inaccessible through the Platform, and Altura bears no responsibility for losses incurred due to blockchain forks, network events, or Altura’s decisions regarding fork support.

Security Incidents; Loss of Vault Assets

The Platform, Vaults, smart contracts, oracle systems, front end, APIs, infrastructure, and third-party integrations may be subject to hacks, exploits, attacks, bugs, vulnerabilities, private key compromises, oracle failures, phishing, malicious code, governance attacks, or other security incidents. Any such security incident may result in the unauthorized transfer, loss, theft, freezing, impairment, or total depletion of assets held in or allocated by a Vault. If Vault assets are lost, stolen, depleted, or otherwise unavailable, the value of AVLT or other Vault Units may decrease, including to zero, and Users may be unable to redeem or withdraw some or all of their deposited assets.

In the event of an actual or suspected security incident, Altura may, but is not obligated to, take any actions it deems appropriate, including investigating the incident, suspending or limiting access to the Platform, pausing deposits or withdrawals, disabling or modifying front-end functionality, coordinating with auditors, security researchers, exchanges, infrastructure providers, law enforcement, or other third parties, deploying updates or mitigation measures, or attempting to recover affected assets. Altura does not guarantee that any such actions will be successful or that any lost, stolen, frozen, or otherwise unavailable assets will be recovered.

To the maximum extent permitted by applicable law, Altura is not responsible or liable for any losses arising from or relating to any security incident, including any exploit, hack, bug, vulnerability, smart contract failure, oracle failure, private key compromise, phishing attack, front-end compromise, third-party service provider failure, or unauthorized access, except to the extent such liability cannot be excluded under applicable law.

Fees

By accessing or using the Platform, Users are responsible for all associated blockchain transaction fees, including gas fees and any other network fees required to interact with the Platform on HyperEVM or conduct Vault operations. These fees are payable directly by the User and will be automatically deducted from the User’s digital assets during transactions. Users acknowledge that all blockchain (e.g. gas) and withdrawal fees are non-refundable and must ensure they have sufficient balance to complete any transaction before initiation.

Withdrawals from the Platform may incur the following fees: (i) instant withdrawals (executed immediately when withdrawal amount is within available vault liquidity): 0.1% fee; and (ii) epoch withdrawals (processed at epoch end when desired withdrawal amount exceeds available liquidity): 0% fee. Fee structures may be updated from time to time at Altura’s sole discretion.

Intellectual Property

Altura (and/or its licensors, as applicable) retains all intellectual property rights in the Platform, as well as any software, algorithms, and associated technologies. This includes, but is not limited to, patents, copyrights, trademarks, trade secrets, and other proprietary rights related to the Platform. Notwithstanding the foregoing, certain components of the Platform may be open-source and subject to their respective open-source licensing terms. Users are permitted to use open-source components strictly in accordance with their applicable licensing frameworks. No license or right to use Altura’s intellectual property is granted to Users except as explicitly stated herein. Any unauthorized use, reproduction, distribution, or modification of Altura’s proprietary technology is strictly prohibited and may result in legal action.

Term & Termination

These Terms are effective unless and until terminated by either you or Altura. You may terminate these Terms at any time by ceasing all access to and use of the Platform. If, in Altura’s sole judgment, you fail, or Altura suspects that you have failed, to comply with any term or provision of these Terms, Altura reserves the right to terminate these Terms and deny you access to the Platform. Altura further reserves the right to restrict your access or to stop providing you with all or part of the Platform at any time and for no reason, including, without limitation, if Altura reasonably believes: (a) your use of the Platform exposes Altura to risk or liability; (b) you are using the Platform for unlawful purposes; or (c) it is not commercially viable to continue providing you with access to the Platform. Upon termination, you shall immediately cease all use of the Platform. Any outstanding obligations, including but not limited to repayment of borrowed assets, payment of fees, or resolution of active positions, shall remain in full force and effect. The termination provisions herein shall survive the expiration or termination of these Terms. All rights and remedies available to Altura, whether in equity or at law, are expressly reserved. We reserve the right, at our sole discretion, from time to time and with or without prior notice to you, to modify, suspend or disable (temporarily or permanently) the Platform, in whole or in part, for any reason whatsoever. Upon termination of your access, your right to use the Platform will immediately cease. We will not be liable for any losses suffered by you resulting from any modification, suspension, or termination, for any reason, of your access to all or any portion of the Platform.

Limitation of Liability

Except as expressly provided herein, the Platform is provided “as is” and “as available”, without any warranties, express or implied. To the maximum extent permitted by applicable law, Altura and its parents, subsidiaries, affiliates, related companies, officers, directors, employees, agents, representatives, partners, and licensors (collectively, the “Altura Parties”) disclaim all warranties and conditions, whether express or implied, of merchantability, fitness for a particular purpose, or non-infringement.

Users acknowledge and agree that use of the Platform may involve inherent risks, including potential total loss of your digital assets. The Altura Parties shall not be liable for any loss, damage, or injury of any kind including any direct, indirect, special, incidental, exemplary, consequential or punitive damages, or damages for system failure or malfunction, loss of profits, data, use, business or good-will or other intangible losses, arising out of or in connection with: (a) the Platform or inability to use or access the Platform; (b) any unauthorized access to the Platform; (c) any User conduct on the Platform; (d) any termination or restriction of access; (e) any smart contract interactions or blockchain transactions; (f) any technical vulnerabilities; (g) any market volatility; or (h) any Platform vulnerabilities.

In no event shall the Altura Parties’ cumulative liability to you or any other User, from all causes of action and all theories of liability, exceed the lesser of: (a) the total fees paid by User to Altura in the twelve (12) months preceding the claim, or (b) one hundred dollars ($100 USD), regardless of the form of action or legal theory. Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain types of damages. Accordingly, some of the above limitations in this section may not apply to you. To the extent applicable law does not permit the Altura Parties to disclaim certain warranties or limit certain liabilities, the extent of the Altura Parties’ liability and the scope of any such warranties will be the minimum permitted under applicable law.

Indemnification

You hereby agree to indemnify, defend, and hold harmless Altura, its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your access to or use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable laws, rules, or regulations; or (d) any transactions, interactions, or activities conducted through your digital wallet. This indemnification obligation shall survive the termination or expiration of these Terms. You acknowledge that Altura relies on this indemnification as a material condition of providing you access to and use of the Platform.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law principles. Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or validity thereof, shall be resolved exclusively through binding arbitration. The arbitration will be in English, heard by one arbitrator, and conducted by JAMS. The arbitration will be referred to and finally resolved by arbitration under the LCIA Rules, which are deemed to be incorporated by reference into this clause. The arbitrator’s judgment will be final and enforceable in any court of competent jurisdiction. The seat of the arbitration will be London, England; but the arbitration will be conducted remotely to the extent permitted by the arbitration rules in effect. The arbitrator shall have the authority to grant any remedy available under applicable law, including monetary damages and injunctive relief. The prevailing party in the arbitration shall be entitled to recover its reasonable attorneys’ fees and costs.

The parties expressly waive any right to a jury trial and agree that any dispute shall be resolved through binding arbitration. This arbitration provision shall survive the termination of these Terms.

Miscellaneous

  • These Terms constitute the entire understanding between Altura and you with respect to the subject matter hereof, superseding all prior agreements, representations, and understandings, whether written or oral.

  • Altura reserves the right to modify these Terms at any time by posting updated terms on the Platform. Continued use of the Platform after such modifications constitutes acceptance of the updated terms. Material changes will be communicated to Users via the Platform or associated communication channels, including, without limitation, X, Telegram and/or Discord.

  • These Terms are binding upon and shall inure to the benefit of the parties and their respective successors, assigns, and legal representatives. You may not assign your rights or delegate your obligations under these Terms without Altura’s prior written consent. Any purported assignment contrary to this section will be null and void. Altura may assign any of its rights or obligations hereunder without requiring your consent.

  • If any provision of these Terms is found to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, while preserving its original intent. The remaining provisions shall continue in full force and effect.

  • No waiver of any provision of these Terms shall be effective unless in writing and signed by an authorized representative of Altura. The failure to enforce any right or provision shall not constitute a waiver of such right or provision for the future.

  • You are responsible for maintaining accurate contact information and promptly responding to any communications from Altura regarding your use of the Platform. Altura reserves the right to suspend or terminate access for Users who fail to maintain responsive communication channels.
